fhbc_feb_mailer_01_14Volgens artikel 71(1) van die Maatskappywet mag `n direkteur deur middel van `n gewone resolusie verwyder word, wat aanvaar is by `n vergadering van aandeelhouers deur die persone wat by magte is om stemreg uit te oefen in `n verkiesing van daardie direkteur.  Artikel 71(2)(a) en (b) van die Wet meld egter die volgende:

Voordat die aandeelhouers so `n resolusie kan oorweeg, moet die betrokke direkteur kennis van die vergadering ontvang, met die redes soos opgeneem in die voorgestelde resolusie, sodat hy /sy óf `n verteenwoordiger`n redelike kans gegun word om `n behoorlike  voorlegging te kan maak.

MAY YOU REMOVE A DIRECTOR OF A COMPANY WITHOUT ANY REASON/S? 

In terms of section 71 of the Companies Act 71 of 2008 a director may not be removed from the board of directors without a reasonable opportunity to make a presentation.

In terms of section 71(1) of the Companies Act 71 of 2008, a director may be removed by an ordinary resolution adopted at a shareholders meeting by the persons entitled to exercise voting rights in an election of that director.  However, section 71 (2)(a) and (b) states the following:

Before the shareholders consider such a resolution, they are required to give notice in advance of the meeting to the director concerned with reasons for the proposed removal.  That will give the director a reasonable opportunity to prepare a proper presentation in person or through a representative.
